These Terms & Conditions (“Terms”) govern your access to and use of the website and Services provided by Quepay Solutions Private Limited (“Nikspay”, “we”, “us”, or “our”), CIN U66190DL2023PTC410749 and GSTIN 07AAACQ8846M1ZT, having its registered office at Second Floor, Plot No-82, Block-D, Nangal Dewat, Vasant Kunj, New Delhi, South Delhi, Delhi, 110070. By accessing the website or using the Services, you agree to these Terms and any signed commercial agreement that applies to your account.
1. About our Services
Nikspay provides technology infrastructure for pay-ins, payouts, merchant operations, reconciliation, wallets, settlements, reporting, webhooks, and payment orchestration. Quepay Solutions Private Limited is a technology service provider and is not a bank. Banking and regulated payment services are provided by the applicable licensed partners and remain subject to their terms, controls, and regulatory requirements.
2. Eligibility and onboarding
The Services are intended for lawful business use by eligible organisations and their authorised users. Access may require business verification, KYC, risk review, and partner approval. You must provide complete, accurate, current information and promptly notify us of material changes.
3. Acceptable use
- Use the Services only for lawful, authorised business purposes.
- Do not use the Services for prohibited goods, money laundering, terrorist financing, fraud, sanctions evasion, or activity restricted by law or a regulated partner.
- Do not disrupt, probe, reverse engineer, bypass controls, or seek unauthorised access to the Services or related systems.
- Follow applicable laws, network rules, partner requirements, and the limits and controls configured for your account.
4. Accounts, credentials, and instructions
You are responsible for protecting API keys, passwords, devices, and account access, and for activity performed through your authorised credentials. You must notify us promptly of suspected compromise. We may rely on authenticated instructions received through the Services unless we know they are unauthorised.
5. Fees and taxes
Fees, settlement terms, reserves, billing cycles, and service levels are defined in the applicable commercial agreement or order form. Unless stated otherwise, fees exclude applicable taxes and remain payable according to the agreed billing schedule.
6. Payment processing and reversals
Transaction processing depends on banks, networks, beneficiaries, and other third parties. A displayed status may be updated after reconciliation or partner confirmation. Refunds, reversals, failed transactions, and disputes are handled under our Refund & Cancellation Policy, the merchant’s customer policy, and applicable partner or network rules.
7. Intellectual property
The website, platform, APIs, documentation, software, branding, and related materials are owned by Quepay Solutions Private Limited or its licensors. Except for the limited right to use the Services under an applicable agreement, no intellectual-property rights are transferred to you.
8. Confidentiality and data
Each party must protect the other party’s confidential information using reasonable care and use it only for the agreed purpose. Our handling of personal information is described in the Privacy Policy. Additional data-processing commitments may be set out in a signed commercial agreement.
9. Availability and third-party services
We work to keep the Services available and resilient but do not guarantee uninterrupted operation. Planned maintenance, security events, bank or network outages, regulatory directions, telecommunications failures, and events outside our reasonable control may affect availability or processing times.
10. Warranties and limitation of liability
To the maximum extent permitted by law, the Services are provided subject to the warranties expressly stated in an applicable signed agreement. Quepay Solutions Private Limited will not be liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, revenue, goodwill, or data. Unless a signed agreement states otherwise, aggregate liability will not exceed fees paid for the affected Services during the three months preceding the event giving rise to the claim.
11. Suspension and termination
We may suspend or terminate access for breach, suspected fraud or unlawful activity, security risk, non-payment, partner or regulatory direction, or as permitted by an applicable agreement. Obligations concerning fees, confidentiality, intellectual property, liability, audit, and dispute resolution survive where their nature requires.
12. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any dispute-resolution process in a signed agreement, courts at New Delhi, Delhi will have exclusive jurisdiction over disputes arising from these Terms or the website.
